By downloading, installing, or using the WINK WALLET application and related services (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

To use the Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Not be a resident of any jurisdiction where the Service is prohibited
• Not be listed on any government sanctions list
• Comply with all applicable laws and regulations in your jurisdiction

WINK WALLET is a non-custodial wallet. This means you are the sole owner and controller of your private keys and digital assets. We do not store, hold, or have access to your private keys or funds at any time.

You are solely responsible for:

• Maintaining the security of your device and account credentials
• All activity that occurs under your account
• Safeguarding your recovery methods and authentication factors
• Any loss of funds resulting from unauthorized access to your device

WINK WALLET provides the following services, subject to availability and applicable regulations:

• Wallet Management: Create and manage multi-chain digital asset wallets
• Transactions: Send, receive, and swap digital assets across supported blockchains
• Earn Program: Participate in yield-generating programs with flexible or locked terms
• WINK Card: Spend digital assets via a linked Visa debit card (where available)
• WINK Cash: Hold and transact in fiat-pegged stablecoins within the ecosystem
• Batch Orders: Execute multiple transactions in a single operation

WINK WALLET is free to download and use. Fees may apply to specific operations including but not limited to:

• Token swaps and exchanges
• WINK Card transactions and currency conversions
• Network (gas) fees charged by the underlying blockchain
• Fiat on-ramp and off-ramp transactions

All applicable fees are clearly displayed before you confirm any operation. We do not charge hidden fees, subscription fees, or monthly maintenance costs.

The Earn Program allows you to earn yield on supported digital assets. By participating:

• You acknowledge that APY rates are variable and subject to change
• Flexible programs allow withdrawal at any time; locked programs have fixed terms
• Returns are not guaranteed and may vary based on market conditions
• Early withdrawal from locked programs may result in reduced or forfeited rewards
• Participation is subject to availability and may be restricted in certain jurisdictions

The WINK Card is issued by a licensed third-party partner and is subject to additional terms and conditions provided at the time of application. Key provisions include:

• The card is available in both physical and virtual format
• Digital assets are converted to local fiat currency at the point of sale
• Cashback rewards are credited in WINK tokens
• Card usage is subject to applicable spending limits and regulatory requirements

You agree not to use the Service for:

• Any unlawful purpose or in violation of applicable laws
• Money laundering, terrorist financing, or other financial crimes
• Fraud, deception, or misrepresentation
• Circumventing sanctions or trade restrictions
• Interfering with the operation or security of the Service
• Reverse engineering, decompiling, or disassembling the application
• Creating derivative works based on the Service without authorization

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, software, and design — are the exclusive property of WINK WALLET or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Digital assets are volatile and subject to significant price fluctuations. We do not provide investment advice. You are solely responsible for your financial decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINK WALLET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Loss of digital assets due to user error or unauthorized access
• Losses resulting from blockchain network failures or congestion
• Losses caused by third-party services or integrations
• Market losses or missed trading opportunities
• Service interruptions or downtime

You agree to indemnify and hold harmless WINK WALLET, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WINK WALLET is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the competent courts of that jurisdiction.

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. As a non-custodial wallet, you retain access to your assets through your private keys regardless of account status.
